Terms of Business
Please read these terms carefully. They set out the basis on which Telematicus Services Ltd will act as your insurance broker and the terms that govern our relationship.

2. Our Service
We act as an insurance intermediary and will arrange insurance on your behalf, providing personal advice based on a fair analysis of the market. We will advise you on and arrange the following classes of insurance: Motor, Home, Commercial, and other Personal Lines products as appropriate.
We will provide you with a personal recommendation based on your individual needs and circumstances. Before arranging cover we will assess your demands and needs and provide a policy that meets those requirements, explaining the basis of our recommendation.
3. Your Responsibilities
You must take reasonable care to answer all questions put to you honestly and to the best of your knowledge. Failure to disclose any material facts or providing inaccurate information could invalidate your insurance and mean a claim may not be paid.
Material facts are those that an insurer would consider relevant to the assessment and acceptance of a risk. If you are in doubt about whether information is material, you should disclose it. You should keep a record of information supplied to insurers.
4. Remuneration
We are remunerated by commission paid by the insurer as a percentage of the premium. In some cases we may also charge a fee. Where we charge a fee we will advise you of the amount before you commit to purchasing the policy.
Where we receive commission, this will not affect the premium charged to you. You are entitled to request information about our remuneration at any time.
5. Premiums and Payment
All premiums are payable in accordance with the terms agreed at inception or renewal. Where premium finance is arranged, the terms and conditions of the credit agreement will apply. We will provide you with full details of any credit arrangement before you commit.
We hold all client money in a statutory trust bank account that is separate from our own money, in accordance with FCA client money rules.
6. Cancellation
You have the right to cancel a policy within 14 days of receiving your policy documentation (the cooling-off period) or within 14 days of the commencement of cover, whichever is the later. Should you wish to cancel please contact us immediately.
Outside of the cooling-off period, you may cancel the policy in accordance with the insurer's cancellation terms. We reserve the right to retain any fees earned. Any return of premium will be subject to the insurer's short period scale.
7. Claims
You must notify us or your insurer of any potential claim as soon as reasonably possible. You should also notify us immediately of any incident that may give rise to a claim, even if you are uncertain. Failure to notify promptly could prejudice your claim.
We will provide you with guidance in making a claim where we are able to do so and, if appropriate, will liaise with the insurer on your behalf.
8. Data Protection
We are registered as a Data Controller under the UK General Data Protection Regulation. We collect and hold personal information in order to arrange insurance cover on your behalf. Your personal data will be held securely and not shared with third parties except where necessary to arrange and administer your insurance.
You have the right to access personal data held about you. Full details of our data handling practices are contained in our Privacy Policy available on our website.
9. Financial Services Compensation Scheme (FSCS)
We are covered by the FSCS. You may be entitled to compensation from the scheme if we cannot meet our obligations, depending on the type of business and the circumstances of the claim. Insurance advising and arranging is covered for 90% of the claim with no upper limit. Further information is available from the FSCS at www.fscs.org.uk.
10. Governing Law
These Terms of Business are governed by and construed in accordance with the law of England and Wales and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Our Service
We act as your insurance broker and will arrange insurance on your behalf based on a fair analysis of the market. We offer a range of commercial insurance products including, but not limited to: public and employers liability, commercial property, professional indemnity, motor fleet, cyber liability, and business combined policies.
Our service includes identifying your insurance requirements, searching the market, providing recommendations, arranging cover, assisting with mid-term adjustments, and advising on renewals. We may also assist with claims although we act as intermediary and not as claims handler.
3. Your Duty of Fair Presentation
Under the Insurance Act 2015, you have a duty to make a fair presentation of the risk to us before your insurance is taken out, varied or renewed. This means you must disclose every material circumstance which you know or ought to know, or give us sufficient information to put a prudent insurer on notice that it needs to make further enquiries.
You should conduct a reasonable search to gather material information. This will include information known to your senior management and those responsible for arranging insurance. Failure to comply with the duty of fair presentation may entitle insurers to avoid the policy, reduce a claim payment, or alter the terms of the policy.
4. Remuneration
We are remunerated by commission paid by the insurer as a percentage of the insurance premium. We may also charge a professional fee for our services. Where fees apply, we will confirm the amount and basis of the fee to you before you commit to purchasing any policy.
We may receive additional income from insurers by way of volume or profit-related arrangements. Details of our remuneration are available on request. Our fee is earned at inception and is non-refundable unless we have failed to provide the agreed service.
5. Premiums, Payment and Client Money
All premiums are due in accordance with the terms agreed at inception or renewal. Where we arrange premium finance, full details of the credit arrangement will be provided before you commit. Late payment may result in cover being suspended or cancelled by the insurer.
We hold all client money in a statutory trust bank account separate from our own funds and in accordance with FCA client money rules (CASS). In certain circumstances we may exercise a right of set-off against monies held on your behalf.
6. Mid-Term Adjustments and Renewals
You must notify us as soon as possible of any changes to your business or circumstances that may affect your insurance. Failure to notify us of material changes may result in your policy being invalidated or a claim being refused.
We will contact you in advance of your renewal date. You should review the renewal terms carefully to ensure the cover continues to meet your needs. If you do not wish to renew, please inform us before the renewal date to avoid automatic renewal where applicable.
7. Cancellation
You may cancel your policy in accordance with the terms of the policy wording. Any return of premium will be calculated on a pro-rata or short period basis as specified by your insurer. Our fee is non-refundable on cancellation unless we have failed to deliver the agreed service.
We may terminate these terms of business by giving you 30 days' written notice, or immediately if you fail to pay any amounts due, engage in fraudulent activity, or are in material breach of these terms.
8. Confidentiality and Data Protection
We are registered as a Data Controller under the UK GDPR. Information you provide will be held securely and used to arrange and administer your insurance and to provide you with related services. We may share your information with insurers, reinsurers, and other parties where necessary to fulfil our services.
We treat all client information as strictly confidential and will not disclose it to third parties except as required by law or regulation, or with your prior consent. Full details of how we process your data are set out in our Privacy Policy.
9. Limitation of Liability
Our liability to you for any loss or damage arising from the services we provide shall be limited to direct loss caused by our negligence or breach of duty, up to the sum of £5,000,000 per claim. We shall not be liable for any indirect or consequential loss, loss of profit, or business interruption.
Nothing in these terms shall limit our liability for fraud, death or personal injury caused by our negligence, or any other matter where limitation is prohibited by law.
10. Governing Law
These Terms of Business are governed by the law of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

How we handle your complaint
We aim to resolve complaints within 3 business days following receipt. However if we cannot, we will write to you within five working days to acknowledge your complaint and provide details of our complaint handling procedures and the name of the person dealing with your complaint.
We aim to provide a final response to your complaint within eight weeks from the date of receipt. If we cannot meet this timescale we will outline the reasons for the delay and provide you with an indication of when you can expect to receive a response.
Financial Ombudsman Service (FOS)
If you are dissatisfied with our final response, or we have been unable to provide our final response within eight weeks, you may be eligible to refer the matter to the Financial Ombudsman Service (FOS) free of charge. Details of the eligibility criteria can be found in our complaints procedure or on the FOS website.
If you do decide to refer your complaint to the Ombudsman, you must do so within six months of the date of our final response. The FOS offers an independent service for resolving disputes.

Financial Services Compensation Scheme (FSCS)
We are covered by the FSCS. You may be entitled to compensation from the scheme if we cannot meet our obligations. Insurance advising and arranging is covered for 90% of the claim with no upper limit. Further information about compensation scheme arrangements is available from the FSCS at www.fscs.org.uk.
